Axona Labs Corp is not affiliated with, endorsed by, sponsored by, or associated with:

• The Medical Council of Canada (MCC)
• The Royal College of Physicians and Surgeons of Canada
• Any Canadian provincial regulatory authority
• The United States Medical Licensing Examination (USMLE)
• The American Board of Medical Specialties (ABMS)
• Any medical school, certification body, or examination authority

Any reference to examinations, credentials, or institutions is purely descriptive and does not imply endorsement, approval, or association.

2. AI-Generated, Original Educational Content

2.1 Nature of Content

All questions, explanations, summaries, and educational materials available on MDReview are:

• Generated using artificial intelligence, algorithmic systems, and/or proprietary workflows
• Original and non-proprietary
• Intended solely for general educational review purposes

2.2 No Real Exam Content

• Content does not replicate, reproduce, or mirror actual examination questions
• Content is not derived from confidential, proprietary, or restricted exam materials
• No claim is made that content reflects real exams in structure, difficulty, scoring, or emphasis

2.3 No Copyright Infringement Intended

Axona Labs makes reasonable efforts to avoid copyright infringement. If you believe content infringes intellectual property rights, you must notify us promptly (see Section 16).

3. Educational Use Only – No Guarantees

MDReview is provided strictly for educational and informational purposes.

• We make no guarantees regarding exam performance, licensure, certification, or career outcomes
• Use of the Platform does not create a student–teacher, mentor–mentee, fiduciary, or professional relationship
• You remain solely responsible for verifying information with official sources

4. Eligibility

You must be at least 18 years old to use the Platform. By using MDReview, you represent and warrant that you meet this requirement.

5. User Accounts and Information

You agree to:

• Provide accurate, complete, and current information
• Maintain confidentiality of your login credentials
• Accept full responsibility for all activity under your account

Axona Labs is not liable for unauthorized access resulting from your failure to safeguard credentials.

6. Prohibited Uses

You agree not to:

• Copy, record, scrape, redistribute, sell, sublicense, or exploit Platform content
• Attempt to reverse engineer, decompile, or interfere with Platform systems
• Upload unlawful, abusive, misleading, infringing, or harmful content
• Misrepresent MDReview as an official exam or licensing resource
• Use the Platform for commercial purposes without express written consent

Violation may result in immediate suspension or termination without notice.

7. Intellectual Property

All Platform content, including but not limited to:

• Questions
• Explanations
• Software
• Design
• Branding
• Trademarks

is owned by Axona Labs Corp or its licensors and is protected by applicable intellectual property laws.

No ownership rights are transferred to users.

8. Subscriptions, Fees, and Payments

• Certain features require a paid subscription
• Fees are non-refundable, except where required by law
• Axona Labs reserves the right to modify pricing, features, or access at any time

Failure to pay may result in suspension or termination.

9. Suspension and Termination

We may suspend or terminate your access at our sole discretion, without liability, for:

• Violations of these Terms
• Suspected misuse or abuse
• Security, legal, or operational concerns

Termination does not entitle you to refunds.

10. Platform Availability

We do not guarantee:

• Continuous availability
• Error-free operation
• Compatibility with all devices

Downtime, maintenance, or interruptions may occur without notice.

11. Disclaimer of Warranties (MAXIMUM)

To the maximum extent permitted by law, the Platform is provided "AS IS" and "AS AVAILABLE."

Axona Labs expressly disclaims all warranties, including but not limited to:

• Accuracy or completeness of content
• Fitness for any particular purpose
• Reliability, timeliness, or exam relevance
• Non-infringement

Use of the Platform is entirely at your own risk.

12. Limitation of Liability (STRONG)

To the maximum extent permitted by law:

• Axona Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes, without limitation, loss of exam opportunities, income, reputation, data, or career advancement
• Total aggregate liability, if any, shall not exceed the amount you paid to Axona Labs in the 12 months preceding the claim

13. Indemnification

You agree to defend, indemnify, and hold harmless Axona Labs Corp, its officers, directors, employees, and affiliates from any claims arising out of:

• Your use or misuse of the Platform
• Violation of these Terms
• Alleged infringement of third-party rights

14. Assumption of Risk

You acknowledge that:

• AI-generated content may contain inaccuracies or omissions
• Educational outcomes vary widely
• Official examination bodies are the sole authority for exam content and standards

You voluntarily assume all risks associated with Platform use.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Canada, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of Canadian courts.

16. Intellectual Property Complaints
